Terms of Service

The agreement between your organisation and iS3 Ltd for the use of Certiqa.

Version 1.0 · in force from 18 September 2026 · this is the document you accept at signup

Who these terms are with

Certiqa is provided by iS3 Ltd, a company registered in England and Wales ("we", "us", "our"). These terms form the agreement between iS3 Ltd and the organisation that subscribes to Certiqa ("you", "your", "the Customer").

By ticking to accept these terms when you sign up, you confirm that you are authorised to enter into this agreement on behalf of your organisation. We record that acceptance, including the version of each document in force at that moment, and you can ask us for a copy of it at any time.

What these terms cover

These terms incorporate the following documents, each of which forms part of this agreement:

  • the Service Scope and Support statement, which sets out what your subscription includes and what it does not
  • the Acceptable Use Policy
  • the Privacy Policy
  • the Data Processing Addendum, which governs personal data you put into Certiqa
  • the Trial Terms, where your subscription began as a trial

What Certiqa is

Certiqa is a governance platform. It helps you operate a management system and keep the evidence that the system is working: documents and their approvals, audits and findings, corrective actions, risks, suppliers, communications and the records that connect them.

Certiqa does not certify anything, and nothing in the platform is a certification. Certification of a management system is granted by a certification body or, for the ISM Code, by the flag Administration or a recognised organisation acting for it. Certiqa evidences your management system so that an assessment of it can be carried out; the assessment and its outcome are not ours to give.

Certiqa is not a substitute for professional judgement. Content the platform generates, including anything produced with Ai assistance, is a draft for a competent person in your organisation to review, amend and approve. Responsibility for what your management system says and does remains yours.

Your account and your users

You are responsible for the accounts in your organisation: who has one, what role they hold and what they do with it. Tell us promptly if you believe an account has been compromised.

Your subscription includes a stated number of user accounts and a stated number of standards. Both are set by the plan you bought, and both are shown to you in the platform. Adding a standard or exceeding your user allowance is a change to your subscription, priced as set out in your plan at the time you make the change.

Fees and payment

The fees, the billing interval and what your subscription includes are those of the plan you bought, as shown to you at the point of purchase and recorded against your account. We do not change the price of a plan you are already on without telling you in advance and giving you the chance to leave.

Payment is taken through our payment processor. Subscriptions renew automatically at the end of each billing interval unless cancelled beforehand.

Where you add a standard or a user allowance mid-term, the change is prorated to the end of your current interval. Where you remove one, the change takes effect as your plan provides, and we will tell you what that means before you confirm it.

Fair use of Ai assistance

Ai assistance is included in your subscription and is not metered to you. We do not sell credits, we do not show you a balance, and we will not interrupt a piece of work because of how much assistance it has used. That is deliberate: a governance record is only worth having if people write it properly, and a meter discourages exactly that.

In return, we ask that use is reasonable for the size of your subscription and is genuinely the operation of your management system. If your use is extreme relative to your subscription, or is automated at a scale the platform was not sold for, we may contact you to discuss it. We will always talk to you first; we will not silently degrade, throttle or refuse your use of the platform.

This clause exists so that an unmetered promise is not an unbounded one. Ordinary use, including heavy ordinary use, will not engage it.

Your data

Your data remains yours. We do not sell it, and we do not use the contents of your management system to train Ai models.

Where the data includes personal data, you are the controller and we are the processor. The Data Processing Addendum sets out what that means in practice, including our obligations on security, sub-processors, international transfers, assistance with data subject rights and deletion.

You can export your data while your subscription is active. On termination, the Data Processing Addendum governs what happens to it and when.

Availability and support

We aim to keep Certiqa available and will give reasonable notice of planned maintenance where we can. We do not commit to a contractual uptime percentage, and the Service Scope and Support statement sets out the support that is included.

Certiqa is provided as it stands and as it is available. We give no warranty that it will be uninterrupted or error-free, or that it will meet a particular regulatory outcome for you.

Liability

Nothing in this agreement limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited by law.

Subject to that, neither party is liable to the other for loss of profit, loss of business, loss of anticipated savings, or any indirect or consequential loss.

Subject to that, our total liability arising out of or in connection with this agreement is limited to the fees you paid us in the twelve months before the event giving rise to the claim.

In particular, we are not liable for the outcome of any audit, assessment, inspection or certification decision, or for any regulatory action. Certiqa records and evidences what you do; it does not do it for you.

Term, termination and suspension

This agreement runs for as long as your subscription does. Either party may end it at the end of a billing interval by giving notice before that interval ends.

We may suspend or end your access if you materially breach these terms or the Acceptable Use Policy and do not put it right within a reasonable period after we ask you to, or immediately where the breach is such that a reasonable period is not appropriate.

We may end this agreement if fees remain unpaid after we have asked you to pay them and given you a reasonable opportunity to do so.

Changes to these terms

We may publish a new version of these terms or of any document they incorporate. A new version carries its own version number and effective date, and we will tell you before it takes effect.

The version you agreed to is recorded against your account and does not change retrospectively. If you do not accept a new version, you may end your subscription at the end of your current billing interval.

Governing law

This agreement and any dispute arising out of it are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
